Terms of Service

Caerus Marketing provides digital marketing services to local businesses, including but not limited to:

• Professional website design and development
• 5-star Google review generation and reputation management
• Missed call text back automation
• SMS text marketing and remarketing campaigns
• Email automation and lead nurturing sequences

Services are delivered on a monthly subscription basis. Specific deliverables are outlined in the service agreement or proposal provided to each client.

By engaging our services, you agree to:

• Provide accurate, complete, and current information about your business
• Respond to requests for approvals, content, or information in a timely manner (within 5 business days unless otherwise agreed)
• Ensure you have legal rights to any materials, logos, images, or content you provide to us
• Not use our services for any unlawful, deceptive, or harmful purpose
• Comply with all applicable laws, including those governing SMS marketing and email communications

Services are billed monthly in advance. Payment is due at the start of each billing cycle. Current plan pricing ranges from $150 to $700 per month depending on the selected plan.

Refunds: Monthly fees are non-refundable once a billing cycle has begun. If you cancel mid-cycle, service continues through the end of the paid period.

Late payment: Accounts more than 7 days past due may have services paused until payment is received. Accounts more than 30 days past due may be terminated.

Pricing is subject to change with 30 days written notice to active clients.

Your assets: You retain ownership of all brand assets, content, logos, and materials you provide to us. You grant Caerus Marketing a limited license to use these materials solely to perform your requested services.

Our systems: Caerus Marketing retains ownership of all proprietary templates, systems, workflows, automation sequences, and tools developed by us — including any built within third-party platforms on your behalf. Upon termination, you retain the content and data within those systems but not the proprietary frameworks or configurations.

Website ownership: Upon final payment and completion of a website project, you own the domain (if purchased in your name) and all website content. Hosting remains a managed service and does not transfer.

If you engage Caerus Marketing to conduct SMS or text message campaigns on your behalf, you represent and warrant that:

• You have obtained all required prior express written consent from recipients as required by the Telephone Consumer Protection Act (TCPA)
• Your contact lists comply with all applicable federal and state laws
• You will maintain records of consent and make them available upon request
• You will not submit lists containing contacts who have previously opted out

You agree to indemnify and hold Caerus Marketing harmless from any claims, fines, or penalties arising from your failure to maintain proper SMS consent records.

Either party may terminate services with 30 days written noticesent to the other party's email address on file. Notice must be sent to ramsesmejia@caerus.marketing.

Caerus Marketing reserves the right to terminate services immediately, without notice, if: (a) payment is more than 30 days past due; (b) you violate these Terms; or (c) you engage in conduct we determine to be harmful, abusive, or unlawful.

Upon termination, all outstanding fees become immediately due and payable.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Harris County, Texas. You consent to the personal jurisdiction of such courts.
